Program Description:
For more than 400 years, one of the most attractive features of the corporate (including LLCs and LLPs) structure has been limited liability protecting equity holders from the debts of the entity. However, the veil surrounding the business is not absolute and requires effort to protect. When that effort falls short, holes appear that allow creditors, including judgment creditors, to access assets that were thought protected.
After completing this course, attendees will be able to:
- Recognize the two primary means to pierce the corporate veil
- Identify the difference between alter ego liability and enterprise liability
- Apply techniques to pierce the veil on behalf of clients (or help clients strengthen their own corporate veils)
