Program Description:
Delaware Chancery Court has recently emphasized that a security price determined in an efficient market is probative of fundamental value, and may be given more weight in a valuation appraisal than a model-based valuation. Consequently, proving or disproving market efficiency has become an important but hotly contested task. Market efficiency tests have always been central in Federal class action security fraud cases, so court-approved methodologies do exist. This session will explore and explain how market efficiency is assessed in Federal cases, and address how these same tests can be applied in Chancery appraisal hearings and other venues.
After completing this course, you will be able to:
- Recognize the meaning of market efficiency
- Identify what indicators and tests are generally accepted in Federal securities cases
- Select approved tests to assess market efficiency in appraisal actions and other valuation assignments
