Program Description

Business valuation professionals often find themselves drawn into disputes over the value of business interests. Minority and oppressed shareholder disputes, damage to business value, eminent domain, and failed business combinations are some of these situations calling for the expertise of the seasoned business valuation analyst.

These Business Valuation in Litigation Webinars focus on the dynamics of business valuation conclusions and calculations in the context of litigation, controlling professional standards, notable case law, differing approaches to reporting in litigation, traditional and situation-specific standards of value, and other key issues impacting business valuation in litigation.

In these Webinars, attendees will gain an understanding of the legal environment in which valuation experts practice and the practical application of business valuation in various types of legal disputes. Attendees will also expand their knowledge of professional standards and focus on developmental and reporting standards as they apply under court rules and procedures. The Webinars will also focus on the importance of site visits, tips and techniques to employ when reviewing the opposing expert's report, why a critique of the opposing expert may not be enough, and what to do when the opposing expert is bound by different standards. Discussion will also address how to assist counsel with document requests and how to resolve issues dealing with a counselor who doesn't understand business valuation.

- Identify standards of value and approaches peculiar to shareholder disputes and other related litigation-based valuations
- Apply legal concepts relating to business valuation to one's professional engagement
- Explain professional standards governing business valuation experts in litigation engagements

- Identify the weaknesses of valuation reports in the litigation environment
- List principles of effective communication in litigation
- Apply litigation and communication skills in delivering deposition and trial testimony

P. Dermot O'Neill, CPA, ABV, CFF, CVA, MAFF, ABAR
Mr. P. Dermot O'Neill is president of P. Dermot O’Neill, CPA PC. He has over 40 years of experience as a Certified Public Accountant and has concentrated his practice in the areas of forensic accounting and litigation support, business valuation, transaction consulting, financial analysis, and income taxation. He has provided consulting and expert witness assistance in cases involving matrimonial issues, oppressed shareholders, personal injury, wrongful death, and accounting malpractice as well as contract and tort issues.

Mr. O’Neill is a member of the American and Pennsylvania Institutes of Certified Public Accountants (PICPA), and the National Association of Certified Valuators and Analysts (NACVA). He is a committee member of the PICPA Business Valuation Committee, PICPA Forensic and Litigation Services Committee (2007-2008 Annual Conference Chair), National Association of Certified Valuators and Analysts’ State Chapters Committee, and Managing Editor of theNational Litigation Consultants Review for which he has written numerous articles.

Mr. O’Neill has been an adjunct faculty member at Villanova University as well as a member of the National Faculty of the American Institute of Certified Public Accountants (Staff Training; Taxation and Staff Training; Accounting and Auditing) and is currently on the adjunct faculty at Rider University Graduate School of Business. He has presented seminars sponsored by the Accounting Institutes and Societies in Pennsylvania, Florida, Georgia, Ohio, Utah, and Texas as well as seminars for local and state bar associations. He has been a guest lecturer at Lehigh University and Widener University Graduate Schools of Business. He has testified as an expert in Pennsylvania, New Jersey, Delaware, Florida, New York, and Virginia as well as the Chancery Court of Delaware, Federal Bankruptcy Court, and Federal District Court.

Frank Rosillo, CPA, ABV, ABAR, CBA, CVA, CFE, CFF, MAFF
Mr. Francisco (Frank) Rosillo, Sr., is the managing director of Valfor–Valuations & Forensics, LLC, Certified Public Accountants, Valuation and Forensic Analysts, serving an international clientele, located in Doral, Florida.

Mr. Rosillo was named in the 2010 (10th anniversary) and 2011 (11th anniversary) edition of South Florida Legal Guide as one of the top CPAs and accounting professionals in business valuation and litigation support in South Florida.

In 2010, he was appointed to serve as a lay member of the Florida Bar Grievance Committee. In June 2013, he was awarded NACVA’s Circle of Light Award. Mr. Rosillo recently authored a hard-cover treatise entitled Determination of Value, published by Wiley & Sons, 2013. He is currently serving on IBA’s board of governors as a “governor at large” for a second term. He is a certified public accountant licensed in the states of California, Florida, Indiana, Michigan, and North Carolina.

In 1979, he Mr. Rosillo was awarded a direct appointment to the United States Army, Finance Branch, to the rank of Captain, where he received a letter of commendation from the Pentagon for recommendations made to the U.S. Army Finance Center for the implementation of statistical methods in the processing of worldwide travel documents.

Over the past twenty years, his financial expert witness experiences included cases in federal and state courts. In addition to traditional accounting, business valuation & forensic accounting services, he has successfully assisted clients in numerous mergers and acquisitions transactions, matrimonial dissolutions, valuations of trademarks, copyrights, licensing agreement royalty calculations, and other intellectual property matters.

Mr. Rosillo is a frequent national lecturer, author, and trainer in valuation and forensic accounting topics.
