Session 1: Fraud Risk in M&A and Valuations
Presenter: Bill Ditty
Program Description: The course will cover the following:
- Common and uncommon instruments of fraud in M&A and valuations
- Signals that data is wrong, incomplete, misleading, or misrepresented
- Identification of red flags in data and in behavior of participants
- Tools and techniques to detect deception and diversion
- Psychology and motivations of fraud and fraudulent behavior
- Mitigation and redressal of frauds
Case studies drawn from real life transactions will be used to present the above.
Learning Objectives: After completing this course, attendees will be able to:
- Identify the potential for and recognize fraud risks in M&A and valuation contexts
- Recognize fraud indicia, symptoms, and red flags
- Determine fraud and practice appropriate defensive measures, so as not becoming victims
- Identify the instruments of fraud and the behavioral psychology behind fraud
- Recognize the practical tools required for identifying, mitigating, and redressing potential fraud in M&A and valuation transactions
Program Level: Advanced: Learning activity level most useful for individuals with mastery of the particular topic. This level focuses on the development of in-depth knowledge, a variety of skills, or a broader range of applications.

Session 2: Valuation Issues in M&A: Standards, Accounting, and Due Diligence
Presenter: Bill Ditty
Program Description: This course will discuss the difference in valuations for mergers and acquisitions (M&A) versus standard fair market value (FMV) engagements, the role of the valuation professional in the due diligence process for prospective buyers, and the common GAAP/purchase price accounting issues in mergers and acquisitions. Real-life examples will be discussed to demonstrate the importance of the valuation professional when companies are looking to buy or sell.
Learning Objectives: After completing this course, attendees will be able to:
- Differentiate between M&A engagements and FMV appraisals
- Define the role of the valuation professional during due diligence
- Identify common purchase price accounting and GAAP issues

Session 3: Private Company M&A Valuation: Financial Reporting
Presenter: Bill Ditty
Program Description: In this course, join Stephen White as he explores financial reporting within the M&A space. M&As are important events that take place within both the private sector as well in the public markets. From 2000 to 2020, firms spent over $57 trillion on more than 800,000 acquisitions over that period. M&As is about shaping firm boundaries and resulting in tremendous reallocation of resources. There are many reasons M&As are performed, but the most important driver of M&A is the desire to profit from opportunities represented by attractive target valuations.
Learning Objectives: After completing this course, attendees will be able to:
- Recognize the importance of M&A
- Differentiate the sections of the ASC and what they cover
- Identify the tasks involved with pre-deal, in-deal, and post-deal of M&A
